Terms of Service

These Terms of Service (the "Terms") govern your access to and use of DenkOps, a service operated by DenkOps B.V. ("DenkOps", "we", "us"), based in the Netherlands. By creating an account or using the platform you agree to these Terms. If you don't agree, don't use DenkOps.

1. The service

DenkOps is a platform that builds, hosts and runs the backends, APIs, MCP servers, agents and jobs that you deploy to it. We may add, change or remove features over time to keep improving the service.

2. Your account

You must be at least 18 years old and able to enter into a contract. You're responsible for your account, for keeping your access keys and credentials secure, and for everything that happens under your account. Tell us promptly at security@denkops.com if you suspect unauthorised use.

3. Acceptable & fair use

You agree to use DenkOps responsibly. You must not use the platform to, or allow anyone else to:

• break the law, infringe intellectual property, or violate anyone's rights;
• host or distribute malware, run botnets, or mine cryptocurrency;
• send spam, or run phishing, fraud or other deceptive activity;
• attack, scan, probe or overload any system, network or third party;
• store or process other people's personal data unlawfully;
• attempt to bypass the platform's limits, isolation, egress controls or security;
• place a disproportionate or abusive load on shared infrastructure, beyond the capacity you've reserved.

"Fair use" means the resources tied to your plan are meant for normal, good-faith workloads. We may apply technical limits and automatic brakes to protect the platform, and we may contact you to resolve usage that puts the service or other users at risk.

4. Suspension, removal & termination

We may suspend or terminate your account or any project, remove content, or throttle or block activity, at our reasonable discretion, and where practical with notice, if you breach these Terms, fail to pay, or create a security, legal or operational risk to DenkOps, our users or third parties. For serious or ongoing abuse we may act immediately and without prior notice, including permanently banning an account. You may stop using DenkOps and close your account at any time.

5. Your content and intellectual property

You keep all rights to the code, data and content you deploy ("Your Content"). You grant us the limited licence needed to store, build, run, transmit and display Your Content solely to operate the service for you. You represent that you have the rights to Your Content and that it doesn't violate these Terms or the law. We keep all rights in the DenkOps platform itself.

6. Fees and billing

Paid plans are billed per slot on a recurring basis, in advance, in the currency shown at checkout, exclusive of any applicable taxes. Fees are non-refundable except where required by law. We may change prices, with reasonable notice for existing subscriptions; changes apply from your next billing period. If a payment fails, we may suspend or downgrade your account until it's resolved. You can cancel at any time and your plan runs until the end of the current billing period.

7. No warranty

DenkOps is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will meet your requirements. Any uptime figures shown on the site are targets, not guarantees, and we make no service-level commitment unless we've agreed one with you in writing.

8. Data and backups

While we take reasonable measures to keep the platform reliable and secure, DenkOps is not a backup service and we do not guarantee against the loss, deletion or corruption of Your Content or data. You are solely responsible for maintaining your own backups of anything important. To the maximum extent permitted by law, we are not liable for any loss of, or inability to access, your data.

9. Limitation of liability

To the maximum extent permitted by law, DenkOps and its operators will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to your use of (or inability to use) the service. Our total aggregate liability for all claims relating to the service is limited to the amount you paid us for the service in the three (3) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold DenkOps harmless from any claims, damages, losses and costs (including reasonable legal fees) arising from Your Content, your use of the service, or your breach of these Terms.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes we'll update the date above and, where appropriate, notify you. Continuing to use DenkOps after a change means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the Netherlands. Any dispute arising from them or from your use of DenkOps will be submitted to the competent courts of the Netherlands, unless mandatory law provides otherwise.
